Chapter Four: General Assembly (Annual Conference)

 Article 9 The General Assembly is the CBCSD's highest organ of power. The General Assembly is composed of each member corporation’s representative and is convened once every year. The General Assembly shall be presided over by the Executive President, or by the Deputy Executive President in case the Executive President is absent. Every Member shall send its corporate executives or similarly designated executives to attend the General Assembly.

 Article 10 The General Assembly elects from the members an Executive President and a Deputy Executive President. 

 Article 11 The General Assembly has the following powers:
1. To revise the Charter of the CBCSD;
2. To review and examine the work report of the Executive Board;
3. To make decisions on major issues involved in the work of the CBCSD;
4. To elect the CBCSD Executive President and Deputy Executive President, and vote on candidates of the Executive Board proposed by the Executive President;
5. To decide on Membership fees and budget;
6. To review and examine any other matters proposed by the Presidium of the General Assembly.

Article 12 The Executive President should call the General Assembly. Notice should be given to participants thirty (30) days prior to the convening of the meeting, specifying the time, the venue and the agenda of the meeting.

Article 13 The General Assemble shall be attended by CBCSD members or their proxies, and the legally required minimum should be above 50% of all the CBCSD members. Under such circumstances, any decision regarding revision of this Charter, termination of activities or merge with other organizations shall be proposed by the General Assembly and is valid upon the approval of a two-third majority of the General Assembly. For decision on other matters, the legally required minimum is not needed.
